These Terms and Conditions ("Terms") govern your access to and use of the website at bfnp.org and any content, features, and forms made available through it (the "Site"). The Site is operated by Brighter Futures Nonprofit Partners, LLC ("Brighter Futures," "we," "us," or "our").

Please read these Terms carefully. By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, please do not use the Site.

These Terms govern your use of the Site only. They do not govern the services we provide to partner organizations. Any engagement to provide services is governed exclusively by a separate written agreement signed by Brighter Futures and the organization, and nothing on the Site or in these Terms creates such an engagement.

1. Who We Are and What the Site Is For

Brighter Futures is a full-service fundraising and communications firm working with mission-driven nonprofit organizations. The Site exists to describe our work, our approach, and our standards, and to allow qualified organizations to inquire about and schedule a discovery call.

The Site is informational. It is intended for nonprofit professionals exploring whether Brighter Futures is a fit for their organization. It is not a marketplace, an application portal, or a platform for rendering services.

2. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, the Site, or applicable law. When we do, we will revise the "Last updated" date above. Material changes will be communicated through the Site. Your continued use of the Site after an update constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

3. Eligibility and Acceptable Use

By using the Site, you represent that you are at least 18 years old and that you have the authority to agree to these Terms on behalf of yourself and, where applicable, the organization you represent.

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates applicable law or regulation

  • Submit false, misleading, or fraudulent information through any form on the Site

  • Attempt to gain unauthorized access to the Site, its servers, or any connected systems or networks

  • Interfere with or disrupt the operation, security, or integrity of the Site

  • Use any automated means — including bots, scrapers, or crawlers — to access, monitor, or copy content from the Site without our prior written permission

  • Introduce viruses, malware, or other harmful code

  • Use the Site or its content to develop, train, or improve any competing service or any machine-learning or artificial-intelligence system without our prior written permission

  • Copy, reproduce, republish, distribute, or create derivative works from the Site or its content except as expressly permitted in these Terms

We may restrict, suspend, or terminate your access to the Site at any time, without notice, if we believe you have violated these Terms or if we determine it is necessary to protect the Site, Brighter Futures, our partners, or others.

4. Intellectual Property

The Site and all of its content — including text, copy, graphics, logos, design, layout, the Brighter Futures name and mark, and the selection and arrangement of all of the above — are owned by Brighter Futures or our licensors and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your own informational and non-commercial use, evaluating whether to engage Brighter Futures. This license does not include any right to copy, modify, distribute, sell, lease, or otherwise exploit the Site or its content, or to use any Brighter Futures name, logo, or mark, without our prior written permission. All rights not expressly granted are reserved.

5. Inquiries, Forms, and Discovery Calls

The Site allows you to submit an inquiry, complete an intake form, and request or schedule a discovery call.

Submitting a form, sending us a message, or participating in a discovery call does not create a contractual relationship, an engagement, or any obligation on the part of Brighter Futures to provide services. We may decline to schedule a call or to pursue an engagement at our discretion, including based on organizational fit and our own standards.

Information you submit through the Site is handled as described in our Privacy Policy. Please do not submit information through the Site that you consider confidential or sensitive; the appropriate point to share confidential information is within a defined engagement governed by a signed agreement with confidentiality terms. Any general feedback, ideas, or suggestions you choose to send us may be used by us without restriction or obligation to you.

6. No Professional Advice

The content on the Site is provided for general informational purposes only. It does not constitute fundraising, communications, legal, financial, tax, or other professional advice, and it should not be relied upon as a substitute for advice tailored to your organization's circumstances. Any guidance specific to your organization is provided only within an engagement under a separate written agreement. You should consult qualified professionals before acting on any information found on the Site.

7. Third-Party Links and Services

The Site may contain links to third-party websites and may rely on third-party services for functions such as hosting, analytics, forms, scheduling, and communications. These third parties are not under our control. We provide links and use these services for convenience and do not endorse or assume responsibility for the content, products, services, or practices of any third party. Your use of any third-party website or service is governed by that party's own terms and policies.

8. Disclaimer of Warranties

The Site and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any information on the Site is accurate, complete, or current. You use the Site at your own risk.

This section does not affect or limit the warranties, if any, set out in a signed engagement agreement, which is a separate matter from your use of the Site.

9. Limitation of Liability

To the fullest extent permitted by law, Brighter Futures and its owners, personnel, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Site, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars ($100). Liability arising under a signed engagement agreement is governed by the terms of that agreement and is not limited by this section.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. In that case, our liability is limited to the greatest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Brighter Futures and its owners, personnel, and contractors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.

11. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and share information. By using the Site, you acknowledge that you have read and understand the Privacy Policy.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws principles.

Before pursuing any formal claim, you agree to first contact us at [privacy@bfnp.org] and attempt in good faith to resolve the matter informally. If the matter cannot be resolved, you agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Oklahoma County, Oklahoma, and you consent to the personal jurisdiction of those courts.

13. General

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Brighter Futures regarding your use of the Site and supersede any prior understandings on that subject. They do not supersede or modify any signed engagement agreement, which governs the relevant services on its own terms.

Severability. If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
